Pamela Palmer is a litigation partner in the Los Angeles and Orange County offices of Latham & Watkins. Ms. Palmer's practice is devoted to defending companies, officers and directors and audit firms in securities and investor disputes, class actions, shareholder derivative suits, M&A actions, business judgment and fiduciary claims, as well SEC and PCAOB regulatory enforcement matters. She frequently counsels clients regarding privilege, corporate governance, ethics, indemnification and liability coverage. Ms. Palmer also represents public companies and boards in internal investigations, including matters involving whistleblowers, restatements, insider trading, and auditor-initiated investigations.

Ms. Palmer’s client representations include many Fortune ranked companies and span a wide range of industries, including wireless communications, internet, manufacturing, life sciences, pharmaceutical, technology, information services, real estate, financial services and banking. She has counseled on a number of regulatory matters involving businesses in the China region.

Ms. Palmer was named as a leading securities litigation attorney in the US Legal 500 Litigation Guide 2007 and as one of the Daily Journal’s top 100 women litigators in California in 2009. She was named to the list of Southern California “Super Lawyers” by Los Angeles magazine every year since 2005. Ms. Palmer has lectured and published for a variety of organizations, including the American Bar Association, the Center for Professional Education, ALI-ABA, the Association of Corporate Counsel (ACC), Wall Street Lawyer, Aspen publications, and other conferences.

Ms. Palmer is Co-Chair of the Derivative Suits Committee of the American Bar Association’s Class Actions & Derivative Suits Committee and an active member of the Forum for Corporate Directors in Orange County. She currently is a member of Latham & Watkins’ Dodd-Frank Task Force and M&A Takeover Defense Group, and serves on Latham & Watkins?Ethics and Finance Committees. Prior to private practice, she clerked on the Ninth Circuit Court of Appeal.

Ms. Palmer is a frequent lecturer and author on topics of securities litigation, director liability, corporate governance, auditor liability, privilege, and ethics. Her articles have been published in the Los Angeles Daily Journal, Wall Street Lawyer, ABA publications, and Legal Opinion Letters treatise published by Aspen. She has spoken at conferences sponsored by the USC Corporate Governance Summit, the Los Angeles County Bar Association, DRI, ALI-ABA, UCLA Law Center for the Study of Mergers and Acquisitions, the Southern California Association of Corporate Counsel, Corporate Board Member Magazine, and CPE, Inc.
